All orders placed by a Buyer are accepted and all contracts are made subject to the Terms which shall prevail and be effective notwithstanding any variations or additions contained in any order or other document submitted by the Buyer. No modification of these Terms shall be binding upon DC Biosciences unless made in writing by an authorised representative of DC Biosciences.

Every order made by the Buyer shall be deemed an offer by the Buyer to purchase Products from DCB and will not be binding on DCB until a duly authorised representative of DCB has accepted the offer made by the Buyer. DCB may accept orders from commercial, educational or government organisations and reserves the right to insist on a written order and/or references from the Buyer before proceeding. There is no minimum order value. At the time of acceptance of an order DCB will either arrange prompt dispatch from stock or the manufacture of material to satisfy the order. In the event of the latter DCB will indicate an estimated delivery date. In addition to all its other rights DCB reserves the right to refuse the subsequent cancellation of the order if DCB expects to deliver the Product on or prior to the estimated delivery date. If DCB is unable to deliver any Products by reason of any circumstances beyond its reasonable control, then the period for delivery shall be extended by the time lost.
Once an order from the Customer has been accepted by DCB, no subsequent modifications, additions or deletions whatsoever to the order or any specification or document to which the order refers will have effect on the Contract unless written by DCB. The acceptance by DCB of such instructions may be subject to such conditions (including conditions relating to price, delivery and payment) as may be agreed between DCB and the Customer.
Unless fixed prices have expressly been agreed or unless otherwise agreed in writing, the Customer shall purchase the products at DCB list price in effect on date of purchase order acknowledgement (or date of purchase order if no acknowledgement is provided). DCB has the right to change the list prices of its products from time to time, without notice to the Customer. Unless otherwise agreed in writing, the purchase price shall be paid within thirty (30) days from the date of invoice without any deduction. The date on which DCB has received the purchase price and can freely dispose of the same will be deemed the date of payment. The right to assert further damages remains unaffected. DCB is entitled to deliver against prepayment. All prices are net prices, that is, excluding statutory value added tax. All consumer, sales or indirect taxes, customs, examination and acceptance fees and all other taxes, fees or charges of any kind whatsoever which are imposed by public authorities or allocated to the business transaction between DCB and the Customer shall be paid by the Customer in addition to the prices indicated on the offer or the invoice. If after you receive our Product, find that the Product is defective, or you do not agree with our policies or the terms of the License Agreement, you will be issued a full refund, exchange or credit for this Product. In the case of replacing the Product, you will be responsible for sending the Product back to us in the form you received it, and you agree to bear the cost of returning the item to us.
Unless otherwise agreed, DCB will procure delivery of the Goods to the Customer at the expense of the Customer. Delivery dates are given in good faith and every effort will be made to maintain them. DCB shall not be liable for any claims arising in respect of consequential loss or otherwise for failure to procure delivery of the Goods by any such delivery date unless DCB and the Customer have so agreed and then only if the cause of such failure is within the direct control of DCB.
Any product that does not meet the performance standards stated in the product specification sheet will be replaced at no charge. This warranty limits our liability to the replacement of the product. No other warranties of any kind, express or implied, including without limitation, implied warranties of merchantability or fitness for a particular purpose, are provided by DCB. DCB shall have no liability for any direct, indirect, consequential or incidental damages arising out of the use, the results of use or the inability to use any product.
We have the right to revise and amend these Terms and Conditions from time to time to reflect changes in market conditions affecting our business, changes in technology, changes in payment methods, changes in relevant laws and regulatory requirements and changes in our system’s capabilities. You will be subject to the policies, Terms and Conditions and License Agreement in force at the time that you order Products from us, unless any change to those policies, these Terms and Conditions or the License Agreement is required to be made by law or governmental authority (in which case it will apply to orders previously placed by you), or if we notify you of the change to those policies, these terms and conditions or the License Agreement before we send you the Dispatch Confirmation (in which case we have the right to assume that you have accepted the change to the terms and conditions, unless you notify us to the contrary within seven working days of receipt by you of the Products).
The Customer agrees for itself and its employees, agents and representatives that the Customer shall not disclose to any third party and shall maintain as confidential, any and all confidential information provided to the Customer by DCB. Such confidential information shall include, without limitation, information concerning DCB finances, proposed products, product development, marketing and/or sales plans, contracts, these Terms and Conditions, business or operational know-how and any other information deemed confidential by DCB.
Our Products are sold for the purposes of research only, not for therapeutic or diagnostic use. You agree that the Products we send to you, or derivatives related to, or produced by the Products we send to you will not be used in either humans or animals for any purpose.
